Terms & Conditions

These Terms and Conditions (“Terms”) are a legal agreement between you and StemNotes Ltd (“StemNotes”, “we”, “us”, or “our”) and govern your use of the StemNotes mobile and watch applications and related services (the “App”). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

The App is available to users of all ages. If you are under 18, you must have the permission of a parent or guardian to use the App, and they agree to these Terms on your behalf where required by law. By using the App you confirm that the information you provide is accurate.

3. The service

StemNotes provides periodised carbohydrate-fuelling recommendations and related tools for cyclists and endurance athletes, based on the training information you provide or connect. Features may include importing sessions from third-party services, generating fuelling plans, and delivering alerts to your phone and Apple Watch.

4. Not medical, nutritional, or professional advice

The App is provided for general informational and training-support purposes only. It is not medical, nutritional, dietary, or professional advice, and it is not a substitute for consultation with a qualified doctor, dietitian, or coach. Fuelling recommendations are estimates generated from the data available to us and may not be appropriate for your individual health, conditions, or circumstances. You should consult a qualified professional before making changes to your diet, training, or fuelling, particularly if you have any medical condition. You use the App and its recommendations at your own risk.

5. Third-party integrations

If you connect third-party services such as TrainingPeaks or intervals.icu, your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, and we access your data from them only as you authorise. You may disconnect a service at any time.

6. Subscriptions, billing, and free trial

6.1 Free tier. A limited free tier is available (currently limited to a set number of sessions per week). Certain features require a paid subscription.

6.2 Auto-renewable subscriptions. StemNotes offers auto-renewable subscriptions (currently Monthly and Yearly plans). Subscriptions are purchased and billed through your Apple App Store account.

6.3 Free trial. Where a free trial is offered (currently up to 14 days), your paid subscription begins automatically at the end of the trial unless you cancel at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited if you purchase a subscription.

6.4 Renewal and cancellation. Your subscription automatically renews for the same period at the then-current price unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period. You can manage or cancel your subscription in your Apple ID account settings (Settings → your name → Subscriptions). Deleting the App does not cancel your subscription.

6.5 Prices. Current prices are shown in the App at the point of purchase and may vary by region. We may change subscription prices; changes apply to future billing periods and, where required, will be notified to you in advance and/or require your consent.

6.6 Refunds. Purchases are processed by Apple and are subject to Apple’s terms. Refund requests are handled by Apple, not by us.

7. Acceptable use

You agree not to misuse the App, including not to: reverse engineer, decompile, or attempt to extract source code except as permitted by law; interfere with or disrupt the service; access the service by unauthorised means; or use the App in violation of any law.

8. Intellectual property

The App, including its software, design, content, and trademarks, is owned by StemNotes Ltd or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your personal, non-commercial use in accordance with these Terms. You retain ownership of the data you provide.

9. Disclaimers and limitation of liability

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the App will be uninterrupted, error-free, or that recommendations will achieve any particular result.

To the fullest extent permitted by law, StemNotes Ltd shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss arising from your reliance on the App or its recommendations. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded by law.

10. Termination

We may suspend or terminate your access if you breach these Terms or if we discontinue the service. You may stop using the App and delete your account at any time. Sections that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you have in your country of residence.

13. Apple App Store terms

These Terms are between you and StemNotes Ltd only, not with Apple. Apple is not responsible for the App or its content. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list, and you agree to comply with applicable third-party terms when using the App.
